Privacy Policy for OrderEzee (Ozie)

This Privacy Policy ("Policy") describes how Provista Management Consultants Pvt Ltd, a company incorporated under the laws of India, with its registered office at 172 KD Block, Pitampura, New Delhi - 110034, India ("Provista," "we," "us," "our," or "Ozie"), collects, uses, processes, stores, and discloses information through the OrderEzee website and Ozie app platform (collectively, the "Platform"). Provista is the absolute owner of the Platform, including all intellectual property rights therein. The Platform utilizes Amazon Web Services ("AWS") for hosting, storage, and related operations, and is integrated with external accounting software such as Tally and Busy ("Accounting Integrations"), as well as other Third-Party Services like Razorpay for payments.

This Policy is drafted on a one-sided basis to exclusively safeguard the interests of Provista, OrderEzee, and Ozie, in compliance with applicable Indian laws, including the Digital Personal Data Protection Act, 2023 ("DPDP Act"), the Information Technology Act, 2000 ("IT Act"), and relevant rules. By accessing or using the Platform, you ("User," "you," or "your") irrevocably agree to this Policy. If you do not agree, you must immediately cease all use. This Policy supersedes any prior policies or understandings.

Provista reserves the unilateral right to amend this Policy at any time, with or without notice. Continued use constitutes irrevocable acceptance. In the event of any conflict with other documents, this Policy prevails to the extent it protects Provista's interests.

1. Eligibility and Age Restriction

You must be at least 25 years old to access or use the Platform. By using the Platform, you irrevocably represent and warrant that you are above 25 years of age and legally capable of entering into binding agreements under Indian law. If you are under 25, you must not use the Platform. Provista disclaims all liability for any access or use by individuals under 25, and such use shall be at your sole risk. You are solely responsible for exercising discretion in your use of the Platform, including verifying the suitability of AI-driven content for your purposes.

2. Data We Collect

As a Data Fiduciary under the DPDP Act, Provista collects minimal Digital Personal Data and other information necessary for Platform operations:

• Personal Information: Contact details (e.g., name, email, phone), business identifiers, and account credentials provided during registration or use.
• Business Data: Order details, inventory records, sales metrics, distributor information, negotiation logs, campaign data, payment details, and integrations with Third-Party Services (e.g., Tally, Busy, Razorpay).
• Usage Data: Device information, IP addresses, browser type, access times, pages viewed, and interaction logs.
• AI-Driven Data: Data generated or processed through AI features, including analytics, recommendations, dashboards, and content enhancements aimed at improving user experience and engagement.
• Other Data: Any User Data you upload, including from Accounting Integrations or campaigns.

We collect data automatically via cookies, logs, and tracking technologies, or directly from you or Third-Party Services. You warrant that all data you provide is accurate, lawful, and obtained with necessary consents under the DPDP Act.

3. How We Use Your Data

Data is processed solely for lawful purposes tied to Platform Services, including:

• Providing and maintaining the Platform's features (e.g., order management, dashboards, negotiations, campaigns).
• Enhancing user experience through AI-driven content, analytics, and personalization to make the Platform more engaging.
• Integrating with Third-Party Services (e.g., AWS for hosting, Tally/Busy for accounting, Razorpay for payments).
• Compliance with legal obligations, internal audits, and risk mitigation.
• Aggregating and anonymizing data for Provista's business improvements, research, or analytics.

AI-driven content is intended to enhance functionality and engagement, not to hurt sentiments, promote plagiarism, or cause harm. However, AI outputs may occasionally be unintended or imperfect due to algorithmic nature. Such occurrences are unfortunate but do not impose any liability on Provista. If you encounter issues (e.g., offensive content or inaccuracies), report them to support@orderezee.com, but Provista makes no commitments to investigate or resolve, and you indemnify Provista as per Section 9. The intent is purely to improve user experience; any misuse or misinterpretation is your sole responsibility.

We do not use data for unrelated purposes without separate consent, but reserve the right to process it for Provista's legitimate interests.

4. Sharing and Disclosure of Data

Provista may share data with:

• Sub-processors and Third-Party Services (e.g., AWS for storage, Tally/Busy for integrations, Razorpay for payments) bound by contractual obligations.
• Affiliates, service providers, or partners for Platform operations.
• Authorities as required by law, including under the DPDP Act or court orders.
• In connection with mergers, acquisitions, or business transfers.

Data may be transferred outside India only if compliant with DPDP Act restrictions on cross-border flows. You consent to such transfers and sharing. Provista is not liable for any lapses, breaches, or unintended issues by Third-Party Services.

5. Data Security

Provista implements reasonable security measures (e.g., encryption, access controls, firewalls) to protect data, but disclaims any guarantee of absolute security. Hosting on AWS and integrations with Tally/Busy/Razorpay subject data to third-party risks; Provista is not liable for breaches, losses, or lapses arising from internal errors, external attacks, or Third-Party Services.

In the event of a data breach, Provista will notify the Data Protection Board of India (DPBI) and affected Data Principals as required by the DPDP Act, but without undue delay only at Provista's discretion. You indemnify Provista for any claims related to security incidents.

6. Your Rights Under the DPDP Act

As a Data Principal, you may have rights to access, correct, erase, or restrict processing of your Digital Personal Data, subject to DPDP Act limitations. Requests must be submitted in writing to support@orderezee.com, with proof of identity. Provista may deny requests if they conflict with its interests, legal obligations, or are unreasonable. Assistance is provided at your sole expense.

For data from your employees, customers, or others, you are responsible for handling their rights and notifying Provista of withdrawals. Provista bears no liability for your non-compliance.

7. AI-Driven Content Disclaimer

The Platform incorporates AI-driven features to generate content, insights, and enhancements for better engagement and user experience. This AI content is provided "as is" and is not intended to hurt sentiments, promote plagiarism, or cause any harm. However, due to the nature of AI, outputs may occasionally be inaccurate, biased, offensive, or unintended. Such issues are unfortunate but do not constitute any liability or legal loss to Provista.

You are solely responsible for exercising discretion in relying on or using AI-generated content. If you believe content violates rights or sentiments, report it to us, but Provista disclaims any obligation to act. By using the Platform, you agree that AI features are for informational and enhancement purposes only, and you indemnify Provista fully for any claims arising from AI content, including plagiarism, defamation, or emotional distress.

8. Retention and Deletion

Data is retained only as long as necessary for Services or legal requirements. Upon Subscription termination or request (where applicable), data is deleted after 30 days, unless retention is mandated. Provista reserves the right to retain anonymized data indefinitely for its purposes.

9. Indemnification and Limitation of Liability

You agree to indemnify, defend, and hold harmless Provista, its affiliates, officers, directors, employees, and agents (including OrderEzee and Ozie) from all claims, losses, damages, liabilities, costs, and expenses (including legal fees) arising from: your use of the Platform, User Data, AI-driven content issues, violations of this Policy or laws (including DPDP Act), infringement of rights, or any lapses, errors, losses, or unintended consequences (e.g., sentiment harm, plagiarism allegations). This includes any unfortunate occurrences from AI features or Third-Party Services. Provista controls the defense; you cooperate fully at your expense. This indemnity is absolute, survives termination, and has no exceptions.

10. Governing Law and Dispute Resolution

This Policy is governed exclusively by Indian laws. Disputes shall be resolved in Delhi courts only. Any dispute shall first be attempted to be resolved at Provista's sole discretion. Unresolved disputes go to binding arbitration under the Arbitration and Conciliation Act, 1996, with a single arbitrator appointed by Provista in Delhi. Awards are final; you waive all appeals.

11. Miscellaneous

• Entire Agreement: This Policy constitutes the full understanding regarding privacy.
• Severability: Invalid provisions are severed; remainder enforceable.
• Waiver: No waiver unless in writing by Provista.

By using the Platform, you irrevocably acknowledge and agree to this one-sided Policy, securing Provista's interests exclusively.
